These Terms & Conditions (“Terms”) govern the use of the Marketplace platform (“Marketplace”) operated by SPH Engineering (“SPH Engineering”, “we”, “our”, or “us”).
By accessing or using the Marketplace, you agree to be bound by these Terms.
The Marketplace is an online platform intended to connect companies and individuals seeking drone-related services and drone equipment rentals (“Customers”) with independent regional service providers (“Providers”).
SPH Engineering acts solely as an intermediary for information exchange and inquiry forwarding between Customers and Providers.
SPH Engineering does not provide drone services directly unless explicitly stated otherwise.
The Marketplace is provided by SPH Engineering as an informational inquiry-routing platform.
SPH Engineering does not charge Customers for submitting inquiries through the Marketplace, and no pricing, quotations, or transactional payment processing is conducted through the Marketplace platform.
Any pricing, proposals, contracts, payments, or commercial terms relating to services or rentals are negotiated directly between Customers and Providers outside of the Marketplace.
All Providers listed on the Marketplace are independent third parties. Certain Providers may also act as distributors of SPH Engineering products in their markets.
However, Providers offering services through the Marketplace act independently and are solely responsible for their operations, personnel, services, pricing, contractual obligations, regulatory compliance, and interactions with Customers.
The existence of a reseller, distributor, or commercial relationship with SPH Engineering does not create any agency, employment, joint venture, or partnership relationship in connection with Marketplace services provided to Customers.
SPH Engineering does not:
SPH Engineering performs limited verification of knowledge and competency related only to SPH Engineering products and technologies for certain Providers and does not constitute an endorsement, certification, or safety guarantee to the Customer.
Any agreement, transaction, or relationship formed between a Customer and a Provider is solely between those parties.
Customers may submit inquiries through the Marketplace regarding requested services, rentals, or payload access.
SPH Engineering may forward submitted inquiries to relevant Providers based on geographic area, capabilities, or other matching criteria at our discretion.
SPH Engineering:
The Marketplace and all information provided through it are offered on an “as is” and “as available” basis.
To the fullest extent permitted by law, SPH Engineering disclaims all warranties, express or implied, including but not limited to:
SPH Engineering does not guarantee successful project completion, regulatory compliance, operational safety, or business results.
Customers are solely responsible for:
Customers acknowledge that drone operations may be subject to national and local regulations and restrictions.
Providers using the Marketplace agree that they:
Providers are solely responsible for their services, operations, personnel, equipment, communications, contractual obligations, pricing, project execution, and customer support.
SPH Engineering does not guarantee Provider responsiveness, service quality, project outcomes, or customer satisfaction and shall not be responsible for disputes between Customers and Providers.
To the maximum extent permitted by applicable law, SPH Engineering shall not be liable for any:
Users may not use the Marketplace in violation of applicable sanctions regulations and/or trade restrictions imposed by the European Union, United States, United Nations, or other applicable authorities.
SPH Engineering reserves the right, at its sole discretion, to reject, suspend, or refuse to process inquiries originating from, connected to, or involving sanctioned countries, restricted regions, sanctioned individuals, or prohibited end uses.
Users represent and warrant that they are not subject to applicable sanctions or trade restrictions and will not use the Marketplace for prohibited activities or unlawful purposes.
Users agree to indemnify and hold harmless SPH Engineering, its affiliates, employees, and partners from any claims, liabilities, damages, losses, and expenses arising from:
All Marketplace content, branding, logos, software, and materials are owned by or licensed to SPH Engineering and may not be copied, modified, or distributed without prior written permission.
Use of the Marketplace is also governed by the SPH Engineering Privacy Policy.
By submitting inquiries through the Marketplace, users acknowledge and agree that their contact information and inquiry details may be shared with relevant Providers located in different jurisdictions for the purpose of responding to service requests.
SPH Engineering may also contact Customers and Providers after inquiry submission or project completion for purposes including but not limited to:
Such communications do not make SPH Engineering a party to any agreement between Customers and Providers and do not constitute supervision or acceptance of Provider services.
SPH Engineering reserves the right, at its sole discretion, to:
SPH Engineering may suspend, restrict, or remove a Provider from the Marketplace based on factors including, but not limited to:
SPH Engineering is under no obligation to maintain any Provider listing or minimum level of Marketplace participation.
SPH Engineering retains the sole and final discretion regarding Marketplace participation, Provider listings, inquiry distribution, suspension decisions, and interpretation of these Terms.
These Terms shall be governed by and interpreted in accordance with the laws of Latvia, without regard to conflict of law principles.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between the user and SPH Engineering regarding the Marketplace and supersede any prior agreements or understandings.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Latvia.
SPH Engineering may update these Terms at any time by publishing revised versions on the Marketplace website.
Continued use of the Marketplace after changes become effective constitutes acceptance of the updated Terms.

We, SPH Engineering, are the company registered in the Republic of Latvia (European Union) and we provide a variety of services to you. For purposes of providing services to you, we have to process your personal data. This Privacy Policy (hereinafter – the "Policy") explains how we process (collect, store, disclose) your personal data.

Sometimes if a purchase is made with a Discount Coupon provided to the customer by our Official Reseller, who signed a reseller agreement with us (hereinafter referred to as the "Resellers"), then we might share the following information to ensure that the Reseller can provide technical support and/or training for products you purchased from us:
• Your first name (name);
• Your last name (surname);
• Your email address;
• Company name.
We share your data only with those Resellers that have signed relevant reseller agreements with us and only if you received a discount coupon from the Resellers.

Your data that we collect is not shared with any third parties not specified in this Privacy Policy. Your data is processed in accordance with the rule of law, fairness, and full transparency, as well as for the purpose specified in Clause 2 hereof.

When you are requesting to perform the access, editing or erasure of your personal data, we will comply with your request and we will perform the requested action. If you ask for editing, erasure or restrict to process your personal data, we will notify of your request any third party to which we provided your personal data.
In case the processing of personal data (such as name, surname, and email) is required for concluding a contract and you are not willing to share these personal data with us, we won't be able to identify you as a contracting party and thus comply with the accounting and anti-money laundering legislation. Therefore, we won't be able to sign a contract with you and provide you a Service or Product.
We strive to protect the integrity of your personal data, apply standard information security procedures, and ensure observance of your rights to and lawful interests in data we provide to our partners.

(b) surname and contact details of the personal data protection inspector or other coordination center to receive more detailed information from
